Lucyd Partner Program Terms

In short

• Before you promote Lucyd, check that it's legal where you live and where your audience is. That responsibility is yours alone.
• Don't promote Lucyd to people in the Restricted Jurisdictions listed below, and don't target anyone under 18.
• Never promise profits or call trading on Lucyd an "investment". Prediction markets are risky and users can lose all the money they trade with.
• Mark your posts as advertising where the law or the platform requires it.
• Lucyd is in testnet. Rewards are currently paid in test tokens with no monetary value.
• If you break these rules, we can stop your participation and cancel unpaid rewards.

1. About these Terms

1.1. These Terms govern the Lucyd Partner Program (the "Program"). That includes the Scout Program, which is part of it. "Lucyd", "we" and "us" mean the team that develops and operates the Lucyd platform at lucyd.trade and testnet.lucyd.trade. "You" means the person who applies to the Program or takes part in it.

1.2. Lucyd isn't currently operated through an incorporated legal entity. If we form one or transfer the platform to one, we may assign these Terms and the Program to it without your further consent. You'll be notified of any such assignment.

1.3. You accept these Terms by submitting a partner application or by using your partner link. If you don't agree, don't apply and don't use the link.

2. Eligibility and Restricted Jurisdictions

2.1. To take part, you must:

• be at least 18 years old, or the age of majority where you live if that's higher;
• have the legal capacity to accept these Terms;
• not be a resident of a Restricted Jurisdiction, and not be located in one.

2.2. You must not promote Lucyd to people who are located in, or resident in, a Restricted Jurisdiction. You also must not run campaigns aimed at those places, such as ads geo-targeted to them, content in their local language aimed at their residents, or communities based there.

2.3. Restricted Jurisdictions are:

• Sanctioned territories: Cuba, Iran, North Korea and Syria.
• Restricted countries and regions: Australia, Belarus, Belgium, Brazil, Burundi, Canada (Alberta, British Columbia, Ontario and Quebec), Central African Republic, Democratic Republic of the Congo, Ethiopia, France, Germany, Iraq, Ireland, Italy, Japan, Lebanon, Libya, Malta, Myanmar, Netherlands, New Zealand, Nicaragua, Poland, Russia, Singapore, Slovakia, Somalia, South Korea, South Sudan, Sudan, Taiwan, Thailand, the United Kingdom, the United States (including its territories and the U.S. Minor Outlying Islands), Venezuela, Yemen and Zimbabwe.
• Any other country or region where offering or promoting prediction markets, event contracts, derivatives, betting or crypto-asset services is prohibited or requires a licence that Lucyd doesn't hold.

2.4. We may update this list at any time. Changes take effect when published. After a change, you must stop promoting Lucyd in any newly added jurisdiction within 7 days.

3. Your responsibility for local law

3.1. Laws on prediction markets, event contracts, derivatives, gambling, crypto-assets, advertising and influencer marketing differ from country to country and change often. In some places, promoting a service like Lucyd may be illegal or may require a licence or registration.

3.2. Before promoting Lucyd, and for as long as you take part, you must check and comply with the laws that apply to you and to your audience. That includes rules on financial promotions, gambling advertising, consumer protection, sponsored-content disclosure, data protection, tax and sanctions.

3.3. We give no legal, tax or regulatory advice. We make no promise that taking part in the Program is legal where you are. If you're unsure, ask a lawyer or don't take part.

3.4. By taking part, you confirm that you understand these risks and that you alone are responsible for any consequences of your promotional activity. That includes fines, account bans on social platforms, and claims from your audience or from authorities.

4. How the Program works

4.1. Application. You apply through the Partners page. We may accept or reject any application at our sole discretion and without giving a reason.

4.2. Referral link. Once you're approved, you get a personal link. A trader is attributed to you only if they open your link and log in to Lucyd for the first time through it. Attribution is permanent and can't be transferred to another partner.

4.3. Rewards. You earn a percentage of the trading volume of traders attributed to you. Current rates, volume tiers and the method of calculation are published on the Partners page and form part of these Terms. Rate changes apply only to days after the change.

4.4. Payouts. Rewards are calculated for each closed UTC day. They're paid automatically by the Lucyd PartnerProgram smart contract to the wallet linked to your account once your balance reaches the minimum payout, currently 10 USDC. The on-chain record of the contract is the final record of what was paid. A payout may be delayed if the contract is short of funds.

4.5. Testnet. Lucyd currently runs on a test network. Until we announce otherwise, rewards are paid in test tokens that have no monetary value and can't be exchanged for money. Nothing in these Terms is a promise of future payments in tokens that have real value. Any rewards on mainnet will be governed by updated Terms.

4.6. Scouts. If you join the Scout Program, your rewards are a share of the payouts made to the partners you refer, as described on the Scouts page. Sections 2, 3, 5, 6, 7 and 8 of these Terms apply to scouts in full.

5. Promotion rules

5.1. Allowed: honest reviews, tutorials, analysis and your own trading results, as long as you clearly state the risks and say that you earn a commission.

5.2. Not allowed:

• promising or implying guaranteed or likely profits, "risk-free" trading, or "investment returns";
• presenting Lucyd as a regulated, licensed or government-approved service;
• targeting minors, people with gambling problems, or vulnerable people;
• targeting Restricted Jurisdictions (section 2), or telling users how to get around geographic restrictions, for example with a VPN;
• spam, bulk or automated unsolicited messages, fake reviews or bots;
• incentivised self-referrals, multiple accounts, wash trading, or trading with yourself or with people connected to you to generate rewards;
• bidding on "Lucyd" or similar brand terms in search ads;
• posing as Lucyd, its team, its support or an "official" channel;
• using Lucyd's name or logo other than as provided to you, or changing them;
• any promotion that breaks the rules of the platform you post on.

5.3. Label promotional content as advertising (for example "#ad" or "sponsored") wherever the law or the platform requires it.

6. Independent status and taxes

6.1. You take part as an independent party. You're not our employee, agent, representative or joint-venture partner. You can't make statements or commitments on our behalf.

6.2. You're solely responsible for declaring and paying any taxes, duties and fees that apply to your rewards.

7. Suspension, withholding and termination

7.1. If we reasonably believe you've breached these Terms or applicable law, or have taken part in fraud or manipulation, we may, without prior notice:

• suspend your participation;
• remove your partner badge or public profile;
• withhold or cancel rewards that haven't been paid yet;
• terminate your participation.

7.2. You may leave the Program at any time by contacting us. Rewards for days that closed before you left will be paid under section 4. That doesn't apply if section 7.1 applies.

7.3. We may change, suspend or close the Program at any time. That includes moving it to mainnet or changing rates, tiers or rules. Sections 3, 6, 8 and 9 continue to apply after your participation ends.

8. Disclaimers and liability

8.1. The Program and the Lucyd platform are provided "as is" and "as available". Lucyd is experimental software that runs on public blockchains and smart contracts. It may contain errors, stop working, or lose data.

8.2. To the maximum extent permitted by law, we're not liable for any indirect, incidental or consequential losses, lost profits, or losses caused by blockchain networks, wallets, smart contracts or third-party services. Our total liability to you under these Terms is limited to the rewards actually paid to you in the 3 months before the claim.

8.3. You agree to cover and hold us harmless from claims, fines and losses that arise from your promotional activity or from your breach of these Terms or of the law.

9. Changes, disputes and contact

9.1. We may update these Terms. The current version and its effective date are always on the Partners page. Material changes will be announced in your partner account. You'll have to accept them to keep earning rewards.

9.2. We'll first try to resolve any dispute through good-faith negotiation. Governing law and the forum for disputes will be set out in the Terms once a Lucyd legal entity is formed. Until then, disputes are settled by negotiation.
